Position Summary:
Milan Laser Hair Removal is looking for a VP, General Counsel and Corporate Secretary who will be responsible for providing legal, regulatory and compliance oversight to support strategic objectives and align business goals with legal risk management. The VP, General Counsel and Corporate Secretary will serve as a liaison to the Board of Directors, facilitating corporate governance and strategic decision-making.
Location: Omaha, Nebraska - Onsite
Responsibilities:
Legal Oversight and Compliance: Oversee legal matters across contracts, intellectual property, privacy, regulatory compliance, employment law, mergers and acquisitions, and consumer finance. Ensure compliance with applicable laws and regulations across all business operations. Monitor legislative and regulatory developments impacting the organization and advocate for interests with authorities. Lead cross-functional compliance efforts to align with corporate and regulatory standards. Advise on employment law matters, including wage and hour compliance, employee classifications, compensation, immigration, and internal investigations.
Corporate Governance: Collaborate with the Board of Directors, drafting resolutions, documenting minutes, and advising on governance. Manage legal processes and prepare the organization for public company readiness. Facilitate corporate governance practices to support organizational growth and integrity.
Strategic Counsel: Provide legal advice and practical solutions for new business ventures, including Athens Hair Restoration and Only Injectables. Advise on complex business transactions, including mergers, acquisitions, and partnerships. Partner with leadership to develop strategies balancing legal risks with business objectives.
Litigation and Dispute Resolution: Oversee litigation processes, including negotiating and resolving pre-litigation disputes. Collaborate with external counsel to ensure cost-effective and strategic legal representation.
Team and Vendor Management: Lead and develop a team of legal professionals, establishing efficient systems and processes. Manage relationships with external counsel and legal vendors, ensuring quality and cost control.
- Other Duties: Perform additional tasks, duties, and responsibilities as needed or assigned by leadership to support departmental and organizational objectives
To be considered for this opportunity, you must meet all of the following requirements:
Juris Doctorate from an accredited law school with strong academic credentials required
Membership in good standing of a state bar, with eligibility for Nebraska in-house counsel registration required
Minimum of 10 years of legal experience in a top-tier law firm or corporate legal department dealing with healthcare, corporate, contracting, compliance and/or business transactions required
Expertise in corporate governance, healthcare law, SEC reporting, mergers and acquisitions, and compliance preferred
Experience with and capable of leading projects, directing others and advising on implementation of sound legal, regulatory and corporate compliance solutions required
Experience in drafting transactional documents, license agreements, and negotiating sophisticated agreements required
Proficiency in Sarbanes-Oxley compliance and securities laws, including the ’33 and ’34 Acts preferred
Strong writing, presentation, and negotiation skills required
Significant exposure in corporate governance, securities industry, SEC reporting, FINRA, commercial and merger & acquisition transactions and compliance required
